In short: Business Buyer School is general education about buying a small business. Nothing here is legal, tax, accounting, lending, financial, investment, securities, business brokerage, appraisal or valuation advice, and nothing is applied to your situation or to any business you are looking at. Verify anything that matters with primary sources and licensed professionals before you act. You must be 18 or older. Paid memberships renew automatically until you cancel, and you can cancel online at any time.
1. Who we are
Business Buyer School (businessbuyerschool.com) is operated by Dig Inc LLC, a New Hampshire limited liability company ("we", "us", "our"), 75 S Main Street, PMB 199, Concord, NH 03301. These Terms cover the website, its tracks, lessons, cases, quizzes, worksheets, tools (including the Buy Box Builder, the Deal Lab and its valuation, financing and buyer cash sections, and the Decision Record), library and downloads (together, "Business Buyer School").
2. Accepting these Terms, and the record we keep
2.1 You accept these Terms by ticking the boxes, which start unticked, and typing your full name before you use Business Buyer School, create an account or make a purchase. Typing your name is your electronic signature. If you do not agree, do not use Business Buyer School.
2.2 When you accept, we record the name you typed, the date and time, the version of these Terms, the wording of the boxes you ticked, a one-way hash of your IP address and your browser's user agent, and we link the record to your email address when you sign in. We keep a permanent copy of every version of these Terms we publish, so the version you accepted can be reproduced later.
2.3 If you use Business Buyer School for a company, you confirm you are authorized to accept these Terms for it.
3. Eligibility
You must be at least 18 years old and able to form a binding contract. Business Buyer School is offered to people in the United States. It is not directed to children, and we do not knowingly collect information from anyone under 18.
4. Education only, not advice
4.1 Everything on Business Buyer School, including lessons, cases, worked examples, the Deal Lab, valuation ranges, financing models, checklists and the Decision Record, is general education. It is not legal, tax, accounting, lending, financial, investment, securities, investment banking, business brokerage, appraisal, valuation or insurance advice. It is not a recommendation to buy, sell or finance any business, and it is not applied to your particular facts or to any specific business, listing or offer.
4.2 We are not your lawyer, accountant, broker, lender, financial adviser, appraiser or fiduciary, and using Business Buyer School creates no such relationship. We do not represent buyers or sellers, introduce businesses for sale, or take part in any transaction.
4.3 Lender programs (including SBA rules), tax rules, market data and costs change and can be out of date or wrong. Worked examples and cases are illustrations of one approach, not a promise of any result.
4.4 You are responsible for your own decisions. Before you make an offer, sign a letter of intent or purchase agreement, borrow, sign a personal guarantee or spend money, verify every material fact and get advice from licensed professionals (for example an attorney, CPA, lender, business appraiser or quality-of-earnings provider, insurance agent or business broker).
5. The Deal Lab and other tools
5.1 Tool results are only as good as the numbers you enter. A valuation range is indicative only: it names its data set, date and limits, and it is not an appraisal or a fair market value opinion. Financing and buyer cash figures are illustrations before your own taxes, not a loan approval or a tax calculation.
5.2 The tools compute and show conflicts and open items; they never decide for you. "Pursue", "investigate" or "reject", and any decision you record, are your own.
5.3 Your work in the tools (your buy box, deal records, notes and decisions) is saved in your own browser and is not sent to us, unless a page clearly says otherwise. Clearing your browser data deletes it. Use the export or print options to keep a copy.
6. Sources and no endorsement
Lessons summarize and cite government sources (such as SBA rules), lender documents, published research, articles and the public work of named practitioners, in our own words, and name each source where it is used. A practitioner, firm or framework named as a source has not endorsed Business Buyer School and is not giving you advice, unless a page expressly says otherwise. Third-party material remains subject to its source's terms. Links to other websites are for convenience; we do not control them.
7. Tracks and membership access
Business Buyer School may offer more than one track (for example Buying a Small Business, M&A Execution, and Integration and Value Creation). Each track is sold and accessed separately. A membership gives access only to the tracks it names at purchase. Free lessons and free tools are open to anyone who accepts these Terms.
8. Your account
You sign in with an emailed link. Keep access to your email secure: anyone who can open your email can sign in as you. Your membership is personal and may not be shared, resold or used to redistribute course content. Tell us promptly if you believe your account was used without permission.
9. Acceptable use
9.1 Business Buyer School is for your own learning and your own acquisition research. You agree not to do any of the following, yourself or through anyone else:
(a) copy, republish, post, resell, sublicense or bulk-download lessons, cases, worksheets, tools, research reports, data or any other content;
(b) scrape, crawl, spider or systematically harvest any part of the site, by hand or with any bot, script, browser extension or other automated tool, whether or not you are signed in;
(c) use any content to build, train, fine-tune or improve a competing course, product, dataset or directory, or any artificial intelligence or machine learning model;
(d) frame, mirror or reproduce the site, its design or its structure;
(e) remove a lesson's disclosures, source notes or copyright notices;
(f) share your sign-in, or get around the paywall, a rate limit or any other access control;
(g) enter confidential information you have no right to use (for example a seller's documents covered by a confidentiality agreement) in any way that breaches that agreement;
(h) use Business Buyer School to break any law.
9.2 Search engines may index our public pages if they follow our robots.txt file. Any other automated access needs our written permission first. Ask at dave@businessbuyerschool.com.
9.3 If you break this section we may suspend or end your access under section 17. Copying of this kind can cause harm that money alone does not repair, so you agree we may ask a court to order it stopped, in addition to any other remedy we have.
10. Content ownership
10.1 Business Buyer School's lessons, cases, text, design, tools, research and compilations, and the way we have selected and arranged them, belong to us or are used with permission, and are protected by copyright and other laws.
10.2 While your access is active, we give you a personal, limited, non-exclusive, non-transferable licence, which we may withdraw if you break these Terms, to use them for your own learning and your own acquisition research. You may print or save worksheets and records you complete for your own use. You may quote a short passage with credit and a link to the page.
10.3 Every other use needs our written permission first. We keep all rights we do not expressly give you here.
10.4 If you send us suggestions, we may use them without obligation to you.
11. Your information
How we handle personal information is described in the Privacy Notice (businessbuyerschool.com/privacy.html), which is part of these Terms.
12. No warranties
Business Buyer School is provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, completeness, timeliness, merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.
13. Limitation of liability
13.1 To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost deals, transaction losses, purchase price paid, financing outcomes, guarantee obligations or investigation costs, arising from use of or reliance on Business Buyer School.
13.2 Our total liability for all claims is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the first claim, or $100.
13.3 Nothing in these Terms limits any liability that cannot legally be limited, or any consumer right that cannot be waived.
14. Indemnification
You agree to indemnify us against third-party claims arising from your misuse of Business Buyer School, your violation of these Terms, your use of another person's confidential information, or your sharing of course content or tool output in a way that presents it as advice, an appraisal or verified fact. This does not cover claims arising from our own fraud, intentional misconduct or gross negligence.
15. Paid membership
15.1 Before you pay, the checkout page shows the track or tracks included, the price and billing frequency, that the membership renews automatically until you cancel, the amount and timing of each renewal charge, any founding or introductory price and what you pay after it, the money-back guarantee, and how to cancel. You agree to the renewal terms with a box that starts unticked before we charge you.
15.2 Automatic renewal. Your membership renews at the end of each billing period, and we charge your payment method on file at the then-current price, until you cancel.
15.3 Cancel any time, online. Cancel from your account page or the link in any billing email; no phone call is needed. Cancellation takes effect at the end of the current paid period, and you keep access until then. We confirm every cancellation by email.
15.4 Notices. We email a confirmation after you sign up that restates the renewal terms and how to cancel. For annual memberships we email a reminder at least 15 and no more than 45 days before each renewal. We give at least 30 days' notice before a price change affects your membership, and you may cancel before it takes effect.
15.5 14-day money-back guarantee. You may request a full refund of your first membership payment for a track within 14 days of purchase, no questions asked. Otherwise fees are non-refundable except where the law requires or as section 17 provides.
15.6 Payments are processed by a third-party payment processor. We do not receive or store your full card number. Prices exclude any sales tax that applies, which is added at checkout. Founding prices are honored for as long as the offer says, for example while your membership stays active without interruption.
15.7 If your state's law gives you additional automatic renewal or cancellation rights (for example California or New York), those rights apply.
16. No credential
Completing a track does not give you a certification, license, designation or credential, does not qualify you to advise others, and does not make you a business broker, appraiser or financial professional.
17. Changes, suspension and termination
We may change or discontinue any part of Business Buyer School. We may suspend or end your access if you break these Terms; if we end a paid membership without cause, we refund the unused part of the paid period.
18. Changes to these Terms
We may update these Terms. Each version carries a date, and you accept a new version before continued use. For a paid membership, a change takes effect at your next renewal after notice, and you may cancel before it does.
19. Governing law and disputes
These Terms are governed by New Hampshire law, without regard to its conflict-of-laws rules, except where your state's consumer protection law gives you rights that cannot be waived. Before filing a claim, you agree to contact us and try to resolve the dispute informally for 30 days. Any dispute not resolved informally will be brought in the state or federal courts in New Hampshire, unless your state's law gives you the right to bring it where you live. If any provision is unenforceable, the rest stays in effect. You may not assign these Terms; we may assign them to a successor to Business Buyer School with notice to you. These Terms and the Privacy Notice are the entire agreement between you and us about Business Buyer School.
